At a special meeting of shareholders held on June 4, 2010, Terra's shareholders overwhelmingly approved the proposed "Arrangement" to give effect to the spin-out of Terrex as a public company - with approximately 99.5% of the votes cast by holders of common shares of the Company voting in favor. The completion of the Arrangement is scheduled to occur on June 11, 2010, with all holders of Terrex common shares and share purchase warrants as of June 9, 2010 receiving securities of Terrex pursuant to the Arrangement. 2010 Winter Drill Program

• 2010 winter drill program commenced in January 2010.
• Sixty to eighty holes planned for drilling, weather dependent, for up to 26,000 meters of drilling.
• Designed to explore the high-grade mineralization on Roughrider Zone East (RRZE) as well as to further develop the mineral resource of the highly successful Roughrider Zone (RRZ) in four new zone areas.

• Hathor Intersects 7.5 m at 43.64 % U3O8 and 23 m at 24.31 % U3O8 in Two Separate Holes in Area 2: the Best Results to Date at Roughrider - June 2010
• New mineralization discovered in Area 3 at Roughrider Zone, with assays up to 26.5 m of 3.55% U3O8 , including 6.0 m of 14.46 % U3O8 - June 2010
• Area 1 zone discovered at Roughrider return assays as high as 22.50 m of 11.31 % U3O8 - May 2010
• Off-scale radioactivity & massive mineralization encountered in Zones 1, 2, 3 and 4 - March/April 2010

RRZE

• Roughrider East gives 100 m of strike extent to uranium mineralization - April 2010
• Hathor intersects 81.5 m of 1.59 % U3O8 at Roughrider Zone East, including a 13.5 m interval of 6.52 % U3O8 with assays as high as 68.1 % U3O8 - March 2010

• Novus has exercised its option to repurchase 51% interest in the REN gold property from Terra by issuing 7.5 million shares
• Terra now holds approximately 18.2% of the Company's 41,125,000 issued shares
• Novus Gold has 100% working interest in 14 mineral exploration claims comprising 24,674 acres
• Novus and Terra announced wide gold zone identified by drilling on REN Property (see News Release)
• Gold assay values ranging between 2 to 3 g/t were reported for intersections that ranged from 10.61 to 32.76 metres

• In September 2009, Terra Ventures has acquired a 2% net smelter return in 10 mineral dispositions in the Atha­basca Basin, Saskatchewan.
• The properties are in the Wheeler River area in the southeastern part of the basin
• Recent drilling in this area by Denison/Cameco/JCU has returned an intersection of 55% eU3O8 over 6.00 metres, making this the most recent discovery in the Athabasca basin
• The property consists of the C1-7 and the D1-3 totaling 13,223 hectares owned by Solitaire Minerals Corp.
